Terms and Conditions for Sellers on SourceX App

Introduction

These Terms and Conditions (“Agreement”) govern the use of the SourceX app (“App”) and the associated services provided by Metacircles Technologies Pvt Ltd (“Company”). By using the App, you, as a seller (“Seller”), agree to be bound by this Agreement.

1. Definitions

“Culture Circle” refers to the consumer application platform for the purchase and sale of luxury goods.
“Marketplaces” refers to third-party platforms integrated with the SourceX app, other than Culture Circle.

2. Registration and Account Integrity

2.1. Sellers must register and maintain an account on the App. Accurate and complete information is required for registration.
2.2. Sellers are responsible for maintaining the confidentiality of their account and for all activities under their account.

3. Product Listings and Sales

3.1. Sellers may list luxury goods for sale on Culture Circle and other Marketplaces through the App.
3.2. The Company reserves the right to review and approve all listings for compliance with relevant standards and policies.

4. Payout Terms

4.1. Sales on Culture Circle: Payouts for sales made on Culture Circle will be processed and delivered to the Seller +15 days post the sale confirmation.
4.2. Sales on other Marketplaces: Payouts for sales made on Marketplaces other than Culture Circle will be processed and delivered to the Seller +30 days after the Company receives payment from the respective Marketplace.
4.3. If any order is sold via culturecircle - they reserve the right to raise an invoice to the customer on your behalf for the amount the pair is listed at the platform. You can request a commission invoice from them for the commission charged.

5. Responsibilities of Sellers

5.1. Sellers must ensure the authenticity and quality of all products listed.
5.2. Sellers are responsible for fulfilling orders in a timely manner and providing tracking information to the Company.
5.3. Sellers must adhere to all applicable laws and regulations in relation to the sale of their products.

6. Intellectual Property Rights

6.1. The Company owns all rights, titles, and interests in the App, including all related intellectual property rights.
6.2. Sellers grant the Company a non-exclusive license to use, display, and distribute their product information and trademarks for the purpose of facilitating sales.

7. Termination

7.1. The Company may terminate a Seller's access to the App for breach of these Terms and Conditions.
7.2. Sellers may terminate their account by providing written notice to the Company.

8. Indemnification

8.1. Sellers agree to indemnify and hold harmless the Company from any claims, damages, or expenses arising from their use of the App or breach of this Agreement.

9. Limitation of Liability

9.1. The Company shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including lost profits, arising out of or relating to this Agreement.

10. Dispute Resolution

10.1. Any disputes arising from this Agreement will be resolved through binding arbitration in accordance with the rules of the Indian Arbitration Association.

11. Miscellaneous

11.1. This Agreement constitutes the entire agreement between the parties and supersedes all prior agreements.
11.2. The Company reserves the right to modify these Terms and Conditions at any time.
11.3. If any provision of this Agreement is found to be invalid or unenforceable, the remaining provisions will remain in full force and effect.

Acceptance

By using the SourceX app, you acknowledge that you have read, understood, and agree to be bound by these Terms and Conditions.
